Terms of Service

By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you are agreeing on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to both you and that organization. If you do not agree to these Terms, do not access or use the Service.

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at owais@sunzal.tech of any unauthorized use of your account. You agree to provide accurate, current, and complete information when registering and to keep it up to date.

Organization owners and admins may invite, manage, and remove members, and may control the roles and permissions of members within their organization. We are not responsible for disputes between members of the same organization over access to shared data.

FarmulaAI provides tools for agronomy sales representatives and consultants, including a product and field knowledge base, farm, field, and crop record-keeping, visit and application tracking, soil report upload and extraction, and rule-based product and application recommendations. Features may change, be added, or be removed at any time, and some features are provided on an early access or beta basis, as described in Section 4.

The Service is currently offered on an early access basis and may be free or subject to fees we communicate to you in advance. If we introduce or change paid plans, we will disclose applicable fees, billing frequency, and any trial terms before you are charged. Fees are non-refundable except as required by law or as we expressly state at the time of purchase. Features labeled "beta," "early access," or similar are provided for evaluation purposes, may change or be discontinued at any time, and are provided without the warranties described in Section 11.

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable local, provincial, national, or international law or regulation, including agricultural chemical application laws and product label requirements.
• Upload or transmit content that infringes intellectual property rights, violates privacy rights, or is defamatory, fraudulent, or harmful.
• Reverse engineer, decompile, or attempt to extract the source code of the Service, except where applicable law expressly permits it.
• Access or attempt to access another user's account or organization's data without authorization.
• Probe, scan, or test the vulnerability of the Service, or interfere with or disrupt its integrity or performance, including via denial-of-service attacks, scraping at scale, or introducing malicious code.
• Use automated means to access the Service except through interfaces we expressly provide or authorize.
• Resell, sublicense, or provide the Service to third parties as a standalone or managed service without our prior written consent.
• Use the Service to develop a competing product or to train a competing machine learning model.

We may suspend or terminate access for any account we reasonably believe violates this Section 5.

You retain all rights, title, and interest in the farm, field, soil report, and other data and content you or your organization submit to the Service ("Customer Data"). You grant us a worldwide, non-exclusive, royalty-free license to host, copy, transmit, display, and process Customer Data solely to provide, maintain, secure, and improve the Service and as otherwise permitted by our Privacy Policy. You represent that you have the necessary rights and permissions to submit Customer Data and to grant this license.

We may use aggregated or de-identified data, from which Customer Data has been stripped of information that could reasonably identify you, your organization, or a specific farm, to operate, analyze, and improve the Service and our recommendation logic. We do not sell Customer Data.

You are solely responsible for the accuracy, quality, and legality of Customer Data and of the means by which you acquired it. We may remove content that violates these Terms.

The Service, including its software, design, text, graphics, logos, product and field knowledge base content we author, and underlying recommendation rules and logic (excluding Customer Data and third-party reference content), is owned by FarmulaAI or our licensors and is protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. All rights not expressly granted are reserved.

Please read this section carefully.

The Service generates rule-based product, fertilizer, pest control, and application recommendations, and extracts data from soil reports and other documents using optical character recognition and automated processing. These outputs are provided for informational purposes only, are not a substitute for the professional judgment of a licensed agronomist, certified crop advisor, or other qualified professional, and are not agronomic, legal, regulatory, or financial advice.

• Automated data extraction from soil reports and other documents may contain errors. You are responsible for reviewing extracted values and recommendations for accuracy before relying on them.
• You are solely responsible for verifying that any product, rate, or application method complies with the current product label, applicable regulations, and any restrictions specific to your location, crop, or field conditions before use. Product labels are the legal authority and always govern over any recommendation in the Service.
• We do not warrant or guarantee any specific yield, outcome, cost saving, or result from following a recommendation generated by the Service.
• Recommendations reflect the inputs, rules, and data available at the time they are generated and may not account for conditions that change afterward or that are not captured in the Service.

You assume full responsibility for decisions made and actions taken based on the Service, including product application decisions, and agree that FarmulaAI is not liable for crop, yield, property, or other loss resulting from reliance on the Service, as further described in Section 12 (Limitation of Liability).

The Service may reference, link to, or incorporate data from third parties, such as product manufacturers, label databases, or infrastructure providers. We do not control and are not responsible for third-party content, products, or services, and their inclusion does not imply endorsement. Your use of third-party services is governed by their own terms.

Each party agrees to protect the other's confidential information with the same degree of care it uses for its own confidential information, and at least reasonable care, and to use it only to exercise its rights and perform its obligations under these Terms. This obligation does not apply to information that is or becomes public through no fault of the receiving party, was already known to the receiving party, is independently developed, or is required to be disclosed by law.

The service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade. We do not warrant that the service will be uninterrupted, error-free, or secure, that defects will be corrected, or that recommendations, extracted data, or content will be accurate, complete, or current.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you, in which case the exclusion applies to the maximum extent permitted by applicable law.

To the maximum extent permitted by applicable law, in no event will FarmulaAI or its officers, employees, contractors, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of crops, yield, profits, revenue, data, or goodwill, arising out of or related to your use of or inability to use the service, even if we have been advised of the possibility of such damages.

To the maximum extent permitted by applicable law, our total cumulative liability arising out of or related to these terms or the service will not exceed the greater of one hundred Canadian dollars (CAD $100) or the amount you paid us for the service in the twelve (12) months preceding the event giving rise to the claim.

Some jurisdictions do not allow the limitation or exclusion of liability for certain damages, so some of the above limitations may not apply to you, in which case our liability is limited to the maximum extent permitted by applicable law.

You agree to defend, indemnify, and hold harmless FarmulaAI and its officers, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Service, your Customer Data, your violation of these Terms, or your violation of any applicable law or third-party right, including any product application decision made using the Service.

These Terms remain in effect while you use the Service. You may stop using the Service and close your account at any time by contacting us. We may suspend or terminate your access to the Service, in whole or in part, at any time, with or without notice, for conduct that we believe violates these Terms, poses a risk to the Service or other users, or for any other reason at our discretion, including discontinuing the Service entirely.

Upon termination, your right to use the Service ceases immediately. We will make Customer Data available for export for a reasonable period following termination upon request, except where prohibited by law or where the account was terminated for a violation of these Terms. Sections 6, 7, 8, 10, 11, 12, 13, 15, and 17 survive termination.

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles. You agree that any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts located in British Columbia, Canada, and you consent to personal jurisdiction and venue there.

Before filing a claim, you agree to first contact us at owais@sunzal.tech so we can attempt to resolve the dispute informally.

We may update these Terms from time to time. If we make material changes, we will provide notice, such as by email or an in-app notice, before the changes take effect. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.

• Entire agreement. These Terms, together with our Privacy Policy and any order form or agreement we enter into with you, constitute the entire agreement between you and FarmulaAI regarding the Service.
• Severability. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
• No waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
• Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.
• Force majeure. We are not liable for any failure or delay in performance resulting from causes beyond our reasonable control.
• Relationship of the parties. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and FarmulaAI.
